Tokio Marine Holdings, Inc. (the "Company") announced that, at the meeting of the board of directors held on May 20, 2009, it adopted the following resolution regarding the distribution of surplus with a record date of March 31, 2009.
The Company intends to make the following proposal regarding the distribution of surplus for approval at the 7th Ordinary General Meeting of Shareholders to be held on June 29, 2009.

2. Reasons for the distribution
The Company regards the improvement of shareholders’ returns as one of its most important management tasks and maintains a policy to pay out stable dividends to its shareholders. Based on this policy and considering the Company’s business environment and business results, the Company resolved to pay a year-end cash dividend in the amount of 24 yen per share for the fiscal year ended March 31, 2009. As an interim cash dividend of 24 yen per share has already been paid, the total annual amount of cash dividends to be paid for the fiscal year ended March 31, 2009 will be 48 yen per share, the same amount paid for the previous fiscal year.
